Job Summary

Targray is seeking a Head of Legal, Energy & Environmental Markets based in our Kirkland headquarters. This hands-on, deal-driven role is focused on drafting, negotiating, and continuously improving the contracts and frameworks that enable Targray’s growth across energy transition products.
Reporting to the Chief Financial Officer, this department head role carries enterprise Legal & Compliance accountability.
This is a rare opportunity for a senior energy lawyer to sit at the center of high-value commercial activity. The work includes high-value transactions, often in the tens of millions of dollars and at times $100M+ across environmental markets, renewable fuels, and other energy transition products.
You will lead a team of four while remaining directly involved in key negotiations and contract drafting, requiring strong business judgment, rigorous drafting, and a practical approach to risk.
You will set legal and compliance priorities, operating standards, escalation pathways, and stakeholder service expectations for the function.
Contract drafting is primarily in English, given the nature of our counterparties and business outside of Quebec.  
This role requires the employee to be in the office four (4) days a week and the other day can be remote.

Responsibilities

 
Legal and Compliance Leadership
  • Serve as department head for Legal & Compliance, with accountability for legal/compliance priorities, risk standards, functional planning, and practical business support.
  • Advise senior leadership on legal, compliance, corporate, commercial, governance, and risk matters.
Commercial Contracting 
  • Draft, review, negotiate, and finalize complex commercial agreements supporting Targray’s activities across:
    • Environmental commodities / emissions credits (Canada and U.S.), including market and compliance-driven credit structures (e.g., CFR credits and other environmental credit programs)
    • Biofuels and feedstocks (Canada and U.S.), including biodiesel and renewable diesel
    • Renewable Natural Gas (RNG) transactions (physical and attributes), as well as other energy transition products
  • Lead negotiations on high-value agreements and provide pragmatic guidance on legal/commercial risk issues.
  • Own and negotiate key provisions (as applicable to the product and deal structure): delivery and performance obligations, product specifications, transfer mechanics, credit support, representations and warranties, remedies, limitation of liability, indemnities, force majeure, termination, governing law, dispute resolution, audit/verification rights, and compliance-related provisions.
Contract Frameworks & Efficiency
  • Build and maintain scalable contracting frameworks that reduce friction and improve outcomes, including templates, clause libraries, playbooks, and standard fallback positions.
  • Support new product development by creating appropriate documentation and continuously improving accuracy and operational alignment as markets evolve.
Compliance, Sanctions & Trade Compliance
  • Provide advice on the interpretation of laws and regulations applicable to Targray’s activities, including new business activities and jurisdictions.
  • Oversee compliance matters relevant to Targray’s business, including sanctions, trade compliance, internal policies, authorization controls, and risk mitigation processes.
Corporate Governance & Legal Entity Management
  • Oversee corporate governance support, legal entity management, and corporate compliance processes for Targray and its legal entities globally.
  • Support banking/financing documentation and corporate matters with a practical, business-oriented approach.
     
Disputes, Litigation & Outside Counsel
  • Resolves and oversees arbitration, litigation, and dispute resolution matters, coordinating internal teams and external counsel

Leadership, Team Development & Business Enablement 
  • Lead, mentor, and develop the legal and compliance team, including prioritization, quality review, drafting/negotiation coaching, and continuous process improvement.
  • Build scalable review processes that keep contract throughput high without compromising risk standards.
  • Develop and deliver practical guidance, training, playbooks, and communications to educate business teams on legal, commercial, regulatory, and compliance topics.

Requirements
  • Law degree (LL.B./J.D.) and ability to practice/function as in-house counsel in Quebec 
  • 10+ years of legal experience, including significant commercial drafting and negotiation responsibilities.
  • 5+ years of relevant experience in energy, natural gas, oil & gas, power markets, commodities, trading, or adjacent sectors (in-house and/or firm experience).
  • Demonstrated ability to independently draft and negotiate sophisticated agreements and guide stakeholders through structure and risk decisions.
  • Strong business judgment, clear communication, and comfort operating in a fast-paced environment with multiple concurrent priorities.
  • Experience operating as a legal department head, Head of Legal/Legal & Compliance, or senior legal function leader, including advising senior leadership in a fast-moving organization and managing corporate/commercial lawyers and legal professionals.

Assets:
  • Proven track record managing or overseeing compliance programs and advising on sanctions, trade compliance, internal policies, and regulatory matters.
  • Experience managing legal teams across multiple jurisdictions.
